Hey Guys-

I am not the person that the OP is talking about, but I am a 3rd year law student that has taken biz orgs and will be taking business law next semester. I'm happy to do a little research on how, specifically, non-profits are set up and get back to you all later tonight. Long story short, I believe we're going to have to file documents with a specific state's secretary of state.

This requires thinking about two things:

1) Where is our principle place of busines

2) Where do we we want to incorporate

Conventional wisdom suggests that we incorporate in Delaware as they tend to have business friendly laws. Principle place of business is where most of the work on this project gets done, but we may not need an answer right away on that.

Edit – As I stated, I'll look into it a bit more this afternoon and get back to you.

Thanks for your help.

This project is by nature very decentralized. I imagine that universities will form the backbone of physical groups so as long as we have at least one physical group in the state we file in we should be good, right?
